CONSTITUTION AND RULES OF THE NAA

1. NAME

THE name of the Association is "NATIONAL APPEALS ASSOCIATION INCORPORATED".

2. REGISTERED OFFICE

The Registered Office of the Association shall be situated at Level 2,85 The Terrace, Wellington, or at such office as the Association shall from time to time determine.

3. INTERPRETATION

3.1 For the purpose of these Rules, a national appeal shall be defined as an appeal for monetary donations for charitable purposes conducted by the national body of a charitable organisation.

3.2 For the purposes of these Rules, appeal week means a period of seven consecutive days commencing on a Tuesday and concluding on a Monday.

3.3 Members wishing to conduct an appeal for a longer period of time or within a different seven day period from Tuesday to Monday must apply to and be given approval to do so by the Executive Committee of the Association.

3.4 For the purposes of these Rules, envelope delivery week for Category A means the week immediately prior to the members appeal week and for other category appeals means within the members appeal week.

4. OBJECTS

The objects for which the Association is established are:

4.1 To coordinate dates for national appeals, promotional and awareness activities to ensure that each member has reasonable opportunity to conduct its appeal(s) without interference from any other member, and to require each member to take all reasonable steps to avoid conflicts with other members' national appeals.

4.2 To encourage members to cooperate in ensuring their regional appeals do not conflict with other members' national appeals.

4.3 To publish annually and make known throughout New Zealand a list of members of the Association with the dates agreed upon for their appeals and promotional activities.

4.4 To encourage members to limit all national appeal advertising to the period of their appeal week. An additional day's advertising is permitted for "thank you" and "late donations" advertising.

4.5 To encourage members to limit in all cases the distribution of appeal envelopes to the seven days immediately prior to, or the seven days during, the respective appeal week.

4.6 To conduct negotiations on behalf of the Association to obtain favourable support and conditions for the collective benefit of members and to advance the general objects of the Association.

5. MEMBERSHIP

5.1 An incorporated body or organisation may be elected a member of the Association provided such body or organisation:

(a) Is a recognised national organisation, has charitable status and appeals or intends to appeal to the public nationally for financial support

and/or

(b) Carries out or intends to carry out a national public awareness campaign to promote public awareness of its work.

5.2 Application for membership shall be in writing on the standard application form and a candidate for membership shall be nominated and seconded by two financial members of the Association and on being accepted for membership shall be bound by the Constitution and Rules of the Association.

5.3 The Executive Committee will consider all applications for membership and make a recommendation to the next General Meeting of the Association on the granting of membership. The majority of financial members present at any such General Meeting of the Association shall determine whether or not an applicant for membership shall be accepted.

5.4 The Secretary shall keep a register of all members and their status as financial members.

5.5 The name of the person proposed to represent each member shall be notified by that member to the Association in writing and any change of representation from time to time shall be similarly notified. The member may in addition appoint a substitute or substitutes in the place and stead of such representative either permanently or for any limited period.

6. CESSATION OF MEMBERSHIP

6.1 A member may resign at any time upon giving written notice of its intention so to do to the Secretary and such resignation will take effect on receipt of such notice by the Secretary.

6.2 The Association may terminate the membership of any member on any of the following grounds:

(i) By a resolution to the effect that the member is guilty of a breach of these Rules or of conduct which is, or might be, prejudicial to the interest of the Association or its members or any one of them and passed by a two-thirds majority of financial members of the Association.

(ii) If the annual subscription is in arrears for a period of more than six months.

7. APPEAL STATUS

Each member's appeal will be classified or reclassified by the Association's Executive Committee in consultation with the member prior to the Annual General Meeting. If there is any dispute as to the classification, or reclassification determined, it will be resolved by a majority vote of financial members present at an Annual General or Special General Meeting.

If a member changes the nature of their appeal or promotional activity to the extent that it is substantially different from their existing classification application must be made to the Association's Executive Committee for a change of appeal status.

8. Categories

8.1 Category A

A national appeal, conducted annually, for monetary donations within a period of seven consecutive days during a calendar year involving distribution of envelopes to more than 90% of households throughout New Zealand and using door to door collectors as the major means of collection.

8.2 Category B

A national appeal, conducted annually, for monetary donations within a period of seven consecutive days during a calendar year involving distribution of envelopes to more than 90% of households throughout New Zealand and using return post as the major means of collections.

8.3 Category C

A national appeal conducted annually or less frequently for monetary donations within a period of seven consecutive days during a calendar year and using street days, door-to-door selling, promotional activities or electronic media appeals as the major means of collection.

8.4 Category D

A regional or local appeal conducted annually or less frequently for monetary donations within a period of seven consecutive days during a calendar year and using street days, door-to-door selling or return post as the major means of collection.

8.5 Category E

Members who conduct annually, or less frequently, a significant national, regional or local promotion and awareness campaign conducted annually, or less frequently, within a period of seven consecutive days during a calendar year which does not involve an appeal for or collection of monetary donations.

9. MANAGEMENT

The management and control of the affairs of the Association shall be vested in the members who will elect a Chairperson and three Executive Committee members who shall be termed the Executive Officers of the Association. The Officers will constitute the Executive Committee of the Association whose duties shall take effect from the election date. The Executive Committee shall appoint an Honorary Secretary and agree the terms and conditions of such appointment.

10. MEETINGS

10.1 The annual meeting of the Association shall be held not later than the 31st March in each year and the business to be conducted thereat shall be:

I. To receive the annual report.

II. To receive the accounts, balance sheet and auditor's report.

III. To elect a Chairperson and three Executive Committee members

IV. To appoint an auditor and a solicitor.

V. To confirm members' appeal classifications.

VI. To record members' preferred appeal dates for the year ended 31 March three years ahead.

VII. To allocate appeal dates to members for the year ended 31 March two years ahead.

VIII. To confirm appeal dates for the year ended 31 March one year ahead.

IX. To determine the subscriptions for members for the following year.

X. To consider any notice of motion which may have been lodged by a member with the Secretary at least 40 days prior to the date fixed for the annual meeting and which has been circulated to all members within 30 days prior to that meeting.

XI. To consider general business.

10.2 Such further meetings as may be agreed on at the annual meeting or that may be called by the requisition of not less than four financial members shall be held as and when required.

10.3 Notice of all general meetings shall be given by at least 45 days notice in writing to members.

11. QUORUM

11.1 A quorum for all general meetings of the Association shall be at least one third of the financial members.

11.2 A quorum for any Executive Committee meeting shall be three.

12. VOTING

Each financial member present by its representative at the meeting shall have one vote at all meetings of the Association and the Chairperson of the meeting shall have, in addition, a casting vote. Votes shall be exercised by a show of hands unless three or more financial members call for a ballot.

13. SECRETARY

The Secretary shall also act as Treasurer and shall keep a correct account of all moneys received and payments made by the Association and shall prepare a statement of income and expenditure for submission to the annual meeting and shall obtain the auditor's certificate. The Secretary will be appointed by the Executive Committee. The Secretary's honorarium shall be confirmed by a resolution of a General Meeting of the Association.

14. ACCOUNTS

The accounts of the Association shall be closed on the 31st day of December in each year and shall be audited.

15. COMMON SEAL

The Common Seal of the Association shall be kept in the custody of the Secretary and shall not be affixed to any document, deed or instrument except with the authority of a resolution passed by financial members at a meeting of the Association. Any document to which the Seal is affixed shall be attested by one of the Executive Officers of the Association and one other representative of a member.

16. ALTERATION OF RULES

The Rules shall not be altered, amended or rescinded except at an annual or special general meeting of the Association convened for the purpose and by resolution passed by a majority of not less than two-thirds of all financial members present. No amendment shall be permitted if it in any way affects the non profit status of the Association. Notice of any proposed addition, alteration, amendment or rescission shall be given in notice convening the meeting. No such addition, alteration, amendment or rescission shall become operative or be acted upon until the same has been registered with the Registrar of Incorporated Societies.

17. BANK ACCOUNT

17.1 All monies belonging to the Association shall, as soon as practicable after they have come into the hands of the Treasurer or other duly authorised officer of the Association, be paid into such Bank account or accounts of the Association as it from time to time determines.

17.2 No moneys shall be withdrawn from the bank except by authority of the Executive Officers.

18. POWER TO BORROW MONEY

The Association shall not borrow money.

19. FUNDS AND PROPERTY OF THE SOCIETY

19.1 The income and property of the Association shall be applied solely towards the objects of the Association. No part of it shall be paid or transferred by way of dividend or bonus to any member of the Association provided that this shall not prevent payment of a reasonable remuneration to an officer of the Association in return for services actually rendered to the Association.

19.2 Any moneys not immediately required by the Association may on the authority of two of the Executive Officers of the Association be invested in such investments as are authorised for Trust funds by the Trustee Act 1956.

20. DISSOLUTION

The Association may be wound up by a resolution of a Special Meeting called for the purpose and confirmed at a further General Meeting of the Association. Such General Meeting cannot be held earlier than 30 days, after the passing of the resolution, by a simple majority of financial members present for winding up. The members shall discuss at the General Meeting the allocation of any surplus assets, providing that such assets shall not be distributed among the financial members.
